1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Dealfolio ("Company," "we," "us," or "our"), governing your access to and use of the Dealfolio platform, including our website at dealfolio.app, mobile applications, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Dealfolio is a software-as-a-service (SaaS) platform that provides real estate investors with tools for deal discovery, financial analysis, pipeline management, and portfolio tracking, with a focus on creative finance strategies including seller financing, subject-to transactions, lease options, and BRRRR (Buy, Rehab, Rent, Refinance, Repeat) investing.

The Service may include features such as property data aggregation, financial calculators, AI-powered research and analysis, document generation, and team collaboration tools.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Subscription and Payment

4.1 Subscription Plans

The Service offers various subscription tiers with different features and pricing. Details of each plan are available on our pricing page. We reserve the right to modify subscription plans, features, and pricing at any time with reasonable notice to existing subscribers.

4.2 Free Trial

We may offer a free trial period for certain subscription plans. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You may be required to provide payment information to start a trial.

4.3 Billing and Payment

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selection). You authorize us to charge your designated payment method for all fees and charges associated with your subscription.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period. We do not provide refunds for partial billing periods, except as required by law.

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEALFOLIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Indemnification

You agree to indemnify, defend, and hold harmless Dealfolio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by canceling your subscription and deleting your account through the Service settings or by contacting us.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If such negotiations fail, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with the arbitration taking place in Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

16. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dealfolio regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
